These terms and conditions of use (hereinafter, the "Terms and Conditions") apply to the access and use of the application, website, and/or any platform (hereinafter, the "Platform") managed by Corrala Studio LLC. (hereinafter, "CS"). By accessing and using the Website, the user (hereinafter, "You" or the "User", interchangeably and, together with CS, the "Parties") accepts, for all legal purposes, to be bound by these Terms and Conditions.

The rights, responsibilities, and obligations of the Parties in relation to any product, functionality, and/or service offered by CS through the Platform may be governed by specific terms and conditions that Users must accept prior to using or contracting any such products, functionalities, and/or services.

CLAUSE ONE: GENERAL – ACCESS AND USE OF THE PLATFORM

1.1.

Mere access to and use of this Platform by the User implies full and unmodified acceptance of these Terms and Conditions, as well as the corresponding information regarding both the Platform and any material it contains.

1.2.

All content on the Platform, unless explicitly stated otherwise, is the property of CS. The material provided and displayed on the Platform, whether derived from direct or indirect use, as well as information, content, products, services, publications, those derived from the use of messaging channels, communications, interactive response forms, or any other similar means, including graphics, images, buttons, and text, may not be modified, copied, recorded, pasted, distributed, transmitted, disclosed, used, reproduced, published, licensed, assigned, sold, or used to create derivative works, nor may the software, products, or services contained on the Platform be used in any way, except with written approval from CS.

1.3.

The User guarantees to CS that they will not use the Platform for illegal purposes or for any purposes not authorized by these terms, conditions, rights, definitions, and notices. The Platform is for personal and non-commercial use only. Therefore, the User agrees and guarantees to CS to make personal and non-commercial use of the Platform, also ensuring to keep intact all rights, trademarks, and other properties, subject to copyright and acquired intellectual property rights.

CLAUSE TWO: INFORMATION AND CONTENT OF THE PLATFORM AND PROVIDED THROUGH IT

2.1.

The Platform contains information provided by third parties that CS considers to be from good and reliable sources. However, CS does not take responsibility for nor guarantees the truthfulness, accuracy, completeness, suitability, usefulness, delay, or interruption of the service provided to CS by third parties, nor for any direct or indirect, punitive, incidental, special, consequential, or any other type of damages caused by such services.

2.2.

All information required as a necessary condition for the use of services, information, content, products, interactive response forms, etc., on the Platform is treated with all the confidentiality and reservation required by CS. Therefore, such information will be used solely for analysis by CS and for each User of the service and product used, without abuse or excessive use by CS, and guaranteeing the User that such information and data will not be used to develop advertising, harass, intimidate, cause personal harm, or infringe upon the User's intellectual property or moral integrity, nor to build databases for subsequent commercialization with third parties or any similar act. The User guarantees the truthfulness and accuracy of the information provided, without omissions or falsifications of their stated identity.

2.3.

All information provided on the Platform, services, products, and content is supplied as is and without any warranty of any kind.

2.4.

The User acknowledges and accepts that certain information entered on the Platform, such as public forum posts, non-confidential messages, or general inquiries, may be visible or accessible to third parties. Therefore, the User guarantees to act prudently, coherently, and appropriately when providing or consulting such non-confidential information. Notwithstanding the foregoing, all User Materials (as defined in Clause 3.1) and any other information explicitly designated as confidential will be treated with the utmost confidentiality as set forth in Clause 3.2 and relevant sections of these Terms and Conditions. CS does not control or approve the content, messages, or information derived from public services and expressly disclaims any responsibility arising from them.

2.5.

The information contained on the Platform, as well as the software, content, services, and products provided by CS, may contain inaccuracies or typographical errors. CS reserves the right to modify information, software, products, and services, whether authored by CS or provided by third parties, at any time CS deems necessary and appropriate, without prior notice. Neither CS nor its suppliers guarantee the suitability, reliability, truthfulness, completeness, timeliness, or accuracy of the information, content, software, products, services, and related graphics on the Platform.

2.6.

All information displayed on the Platform, as well as related information or information that may result from such display, does not have official or legal status before CS or any other entity and is subject to ongoing verification by CS.

2.7.

To comply with applicable laws, regulations, legal processes, or administrative requirements, CS reserves the right to disclose information on the Platform at any time. Likewise, CS reserves the right to modify, refuse to publish, or remove, in whole or in part, any information or material, services, or products, at its sole discretion.

2.8.

Under no circumstances shall CS and/or its suppliers be liable for direct, indirect, punitive, incidental, special, consequential, or any other type of damages, including, but not limited to, damages for loss of use of data, content, information, publications, arising from or related to the use of the Platform, the provision of services, content, products, publications, information, or related graphics obtained through the Platform, or accessed in any other way related to the use of the Platform, as well as for the truthfulness, accuracy, completeness, suitability, and usefulness of the content, information, publications, display, and use thereof; whether based on contract, tort, strict liability, or any other theory, even if CS or any of its suppliers have been advised of the possibility of such damages. If the User is not satisfied or may incur such situations due to the use of the content, information, services, products, and publications of the Platform or with any of its previously described conditions of use, their sole and exclusive remedy is to discontinue or cease using the Platform.

CLAUSE THREE: USER-PROVIDED MATERIALS AND CONFIDENTIALITY

3.1. Submission of User Materials

The User may submit or upload videos, images, text, audio, or other media and materials (collectively, "User Materials") to the Platform in connection with any services the User engages. The User guarantees the truthfulness and accuracy of all User Materials provided, without omissions or falsifications of their content or origin.

3.2. Confidentiality of User Materials

All User Materials submitted to the Platform shall be deemed Confidential Information for the purposes of these Terms and Conditions. CS agrees to maintain the User Materials in strict confidence and take reasonable measures to protect them. CS shall not use or disclose User Materials for any purpose other than providing the agreed services, except with the User's prior written consent or as required by law.

3.3. Ownership and License

The User retains all rights, title, and interest in and to the User Materials they submit. By submitting User Materials to the Platform, the User hereby grants CS a non-exclusive, royalty-free, worldwide, transferable license to use, reproduce, modify, transmit, publicly display, and publicly perform the User Materials solely for the purpose of providing the requested services (e.g., video editing, project management, internal review, and quality control) and operating the Platform. This license terminates when the User Materials are removed from the Platform, except for any archival copies that may be retained in the ordinary course of business for a reasonable period.

3.4. User Responsibilities for User Materials

The User is solely responsible for the User Materials they submit, including their legality, reliability, accuracy, and appropriateness. The User warrants that they own or have the necessary licenses, rights, consents, and permissions to upload and grant the aforementioned license for all User Materials, and that the User Materials do not infringe any intellectual property, privacy, publicity, or other rights of any third party. CS is not responsible for any loss, damage, or unauthorized disclosure of User Materials caused by the User's negligence, errors, or omissions, or any third party's unauthorized access outside of CS's reasonable security controls.

CLAUSE FOUR: LINKS TO THIRD-PARTY SITES OR CONTENT

4.1.

The Platform contains links to other websites operated by third parties, unrelated to CS. These links are provided to the User solely for their information and reference. CS does not exercise control over these websites and, therefore, is not responsible for their content. Likewise, the inclusion of links to other websites does not imply CS's approval of their content, nor the existence of any association or relationship with their operators. CS is not responsible for the use made by the user of the information contained on third-party websites.

CLAUSE FIVE: COMMUNICATION

5.1.

The use of messaging channels, communications, interactive response forms, or any other similar means between the User and CS provided by the Platform and by CS is limited to the sending and receiving of appropriate information and material according to each of the different types of channels established on the Platform. The User acknowledges, guarantees, and agrees to use these channels for this purpose and refrains from engaging in the following activities: defaming, insulting, harassing, stalking, threatening, or otherwise violating the rights of third parties (such as the right to privacy or self-image), as well as publishing, posting, uploading, sending, distributing, or disclosing any inappropriate, profane, defamatory, abusive, obscene, indecent, or illegal matter, name, information, or material when using such messaging or communication channels.

5.2.

It is strictly prohibited to send files containing software, whether damaged or not, with or without viruses, or any other type of material protected by intellectual property laws (or by privacy and self-image rights), except if the User owns such rights or controls them, or has received all necessary licenses that accredit them for such act and can be required by CS.

5.3.

The existence of products and services on the Platform, such as communication channels, messaging, interactive response forms, and any other similar means, that require or may require a response from CS as part of the product or service between the User and CS, and for the User of CS, may contain inaccuracies or typographical errors.

CLAUSE SIX: INTELLECTUAL PROPERTY AND CONFIDENTIALITY OF COMPANY INFORMATION

6.1. Company Intellectual Property and Confidential Information

All content made available on the Platform (including but not limited to software, text, graphics, logos, videos, source code, business models, creative content, algorithms, processes, internal documentation, and designs), and any non-public information disclosed by CS to the User, whether through the Platform, communications, systems, or interactions related to CS's services (collectively, "Company IP & Confidential Information"), is the exclusive property of CS or its licensors.

6.2. Restrictions on Use

No license or right, whether by implication, estoppel, or otherwise, is granted to the User under any patent, trademark, copyright, or other intellectual property right of CS, except as expressly permitted herein. The User agrees to maintain all Company IP & Confidential Information in strict confidence and use it solely for the purposes authorized by these Terms and Conditions. The User shall not disclose any Company IP & Confidential Information to third parties without CS's prior written consent, nor modify, copy, record, paste, distribute, transmit, disclose, use, reproduce, publish, license, assign, sell, or use to create derivative works, nor use the software, products, or services contained on the Platform in any way not expressly approved by CS in writing. Any copying, distribution, resale, reverse engineering, or commercial exploitation of the Platform's content or Company IP & Confidential Information is strictly prohibited without CS's prior written authorization.

6.3. Exceptions to Confidentiality

Company IP & Confidential Information does not include information that: (a) was lawfully known to the User prior to disclosure by CS; (b) is or becomes public through no breach of these Terms; (c) is lawfully disclosed to the User by a third party without restriction; or (d) is required to be disclosed by applicable law or court order, provided that the User gives CS prompt written notice and cooperates in any efforts to limit such disclosure.

CLAUSE SEVEN: ACCESS RESTRICTION

7.1.

CS reserves the right to cancel, restrict, limit, or deny total or partial use of the Platform, access to its content, information, publications, services, and products, to any User in the event of total or partial violation of the conditions, rights, terms, definitions, and notices described in this document by CS or for any other reason CS deems necessary, at any time and without prior notice. CS does not guarantee continued or uninterrupted access and use of the Platform.

7.2.

The Platform has a restricted access area. CS reserves the right to assign and admit the User for access and use of such restricted access area. Therefore, violation and trespassing of such access is strictly prohibited, penalized, and subject to the imposition of corresponding civil and criminal penalties for any violation, trespassing, damages, and losses resulting from such acts. CS guarantees, for such restricted access area, all possible means within its reach for the implementation of a secure site against possible violations and trespassing, unrelated to the good faith of the user admitted and authorized by CS, and the security of the Platform. The User admitted and authorized by CS for the restricted access area guarantees to CS the non-violation and non-trespassing of the terms, conditions, notices, and publications regarding information, content, services, and products that govern the Platform as a whole and for each of them. In any case, CS is not responsible for adverse conditions, violation, and trespassing of terms, conditions, and notices established as security measures. The User accepts, acknowledges, and guarantees that all information, content, service, software, or any other material provided in the restricted access area is confidential. Therefore, the User is solely responsible for the proper or improper use in such restricted access area and is fully responsible for their access key and information entered and provided in the various options that this restricted access area requires or offers as a condition of use of such services, products, content, and information in that area of the Platform. CS will not accept any claim, reply, or demand for negligence, errors, or omissions by the User, who guarantees to CS the remedy of the same as CS may require.

7.3.

The User guarantees not to falsify or remove audit indications, legal or other communications, property designations, or labels indicating the origin, whether for software or any other type of material or content on the Platform. Likewise, the User assumes responsibility and guarantees to CS not to limit, prevent, or restrict any other user from using the Platform, as well as all its content, information, publications, services, and products, in accordance with all the conditions, rights, terms, definitions, and notices described in this document by CS.

CLAUSE EIGHT: LIMITATION OF LIABILITY

8.1.

CS and its suppliers hereby expressly disclaim any representation or warranty regarding the aforementioned products, services, content, information, and software, related graphics, including any implied warranty or condition of merchantability, fitness for a particular purpose, title, or non-infringement.

8.2.

CS uses all possible means within its reach to optimize the service; however, the User acknowledges that there may be delays or interruptions in the sending or receiving of information that may cause adverse situations, such as delays or interruptions. The User refrains from making any claim, remedy, or any other type of demand to CS. Therefore, the User assumes all risks for such situations. CS and the User submit their relationship, where applicable, to the regulations issued by [...] and those that may be issued by these organizations in the future.

8.3.

Neither CS, nor its directors, officers, or staff shall be liable for delay or failure to perform their obligations and/or for losses caused directly or indirectly by force majeure or acts of God, as well as for loss, damage, or litigation costs resulting from factual or judgment errors, or actions taken, or inaction, or omission, or consequences thereof. Neither CS, nor its directors, officers, or staff shall be liable for any economic loss (including, but not limited to, loss of profits, transaction losses, or special damages) resulting from negligence, breach of the Terms and Conditions, or otherwise (including, but not limited to, inconvenience, delay, or loss of use of the service), even if CS has been advised of the possibility of such losses or damages. The User is solely responsible and liable for all information provided or orders sent for subsequent execution by CS.

8.4.

The fictitious names of companies, products, people, characters, data, or any other similar exposure mentioned on the Platform, derived from the content, information, services, or products, are not intended to identify any real person, company, product, or event, nor their moral integrity.

CLAUSE NINE: MODIFICATION OF THE TERMS AND CONDITIONS

9.1.

CS reserves the right to modify the Terms and Conditions and notices under which the Platform is offered, without prior notice and at any time it deems appropriate.

CLAUSE TEN: SEVERABILITY

10.1.

If any provision of these Terms and Conditions is declared null or unenforceable under applicable law, such provision shall be deemed replaced by a valid and enforceable provision that most closely matches the intent of the original. The remaining contractual provisions shall remain in full force and effect.

CLAUSE ELEVEN: APPLICABLE LAW AND JURISDICTION

11.1.

These Terms and Conditions shall be governed by the laws of the State of Delaware and the United States of America. The use of the Platform is prohibited in all jurisdictions that do not recognize the validity of these Terms and Conditions, including this paragraph. The User acknowledges that neither these Terms and Conditions nor their use of the Platform create a partnership, joint venture, employment, or agency relationship of any kind between the User and CS. CS's compliance with these Terms and Conditions is subject to legal procedures and applicable law, and nothing in these Terms and Conditions shall derogate CS's right to comply with any judicial or administrative requirement related to the User's use of the Platform or to information provided or collected by CS as a result of such use.

CLAUSE TWELVE: RESERVATION

12.1.

All rights not expressly granted in these Terms and Conditions are reserved.
